Example of our experience: Sale of Commercial Property
We acted for tenants of a leasehold commercial property in the sale of the lease. The property was a listed building and was at the time of the sale being used as a tea shop/restaurant. The buyer was concerned that the property might not have the correct planning consent for this use, so the contract was conditional upon obtaining a certificate of lawful development and planning permission and listed building consent for the works the buyer wanted to carry out.
The buyer wanted the planning consents to be satisfactory but our clients did not want the buyer to have the right to rescind the contract on a whim. The team were able to draft conditions in the contract to define what was to be regarded as a satisfactory planning consent, such as one that did not restrict opening hours or materially affect the cost of carrying out the works for the buyer.
The buyer obtained the planning consents and these complied with the conditions and the sale was completed successfully.
